Overview	The course examines the law of business organizations. Topics include choice of form, formation, capital structure, governance, and fiduciary duties.
Materials	I’m in the process of writing a new book for the course. We will use draft chapters of the book that I will make available for free downloading and printing throughout the semester. You will need to buy the following statutory supplement: Corporations and Other Business Associations: Selected Statutes, Rules, and Forms, 2012 Edition by Charles R. T. O'Kelley and Robert B. Thompson.
