Overview

The course examines the law of business organizations.  Topics include agency, partnership, limited liability company, and corporate law.  The course surveys the characteristics of the various business entities and considerations that drive a business’s choice of entity.  It then explores corporations in detail including formation, capital structure, governance, and fiduciary duties.
