Corporations I
Corporations I provides students with an understanding of the structure and nature of corporations and other forms of business organizations and the role corporations play in American society and the American economy. The course includes an introduction to basic financial, legal and economic concepts; discussion of the roles shareholders, officers and directors play in the corporate structure; discussion of the governance (i.e., agency-cost) problems posed buy publicly-held corporations and how rules of fiduciary duty are used to control manager’s behavior; an introduction to the impact of the Federal securities laws on the corporate governance system; and consideration of transactions involving corporate control.
